Welcome to Happyness Guide (hereinafter referred to as the “Website”, “we”, “us” or “our”). By accessing or using this Website, you agree to comply with and be bound by the following terms and conditions of use (hereinafter referred to as the “Terms”). If you do not agree to these Terms, please do not use this Website.

1. General

• These Terms governs the use of our website (https://happynessguide.com/)
• Happyness Guide is for informational purposes only where we share information about our Services (described below), blogs, etc. with potential users of our Services.
• If you are under the age of Eighteen (18), do not use the Service. Please review all of the Terms carefully before using the Website.

2.Services

Happyness Guide provides Services through its  platform that allows Clients to connect with mental health professionals (hereinafter referred to as the “Practitioners”) by facilitating appointment bookings. Happyness Guide does not offer therapy or any other professional services directly, nor does it participate in or oversee the arrangements between Clients and Practitioners.

2a. Scope of Service

Happyness Guide operates solely as a listing and appointment facilitation platform, helping users (the “Clients”) find and book appointments with Practitioners. Once an appointment is booked:

• Our role ends after the booking is made.
• All subsequent interactions, communications, payments, and agreements between the Client and Practitioner are outside the control and responsibility of Happyness Guide.
• Happyness Guide does not collect fees on behalf of Practitioners, nor does it get involved in disputes or issues arising from the Practitioner-client relationship.

2b. Client Accounts

To book an appointment with a Practitioner, Clients must create an account on the Website. When creating an account:

• You must provide accurate, complete, and up-to-date information.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You agree to notify Happyness Guide immediately of any unauthorized use of your account.

2c. Practitioner Listings

Practitioners listed on Happyness Guide are independent professionals. Happyness Guide:

• Verifies basic credentials, such as licensure, at the time of listing.
• Does not guarantee the quality, suitability, or outcomes of any services provided by the Practitioners.
• Is not responsible for the accuracy of the information provided by Practitioners on their profiles.

Clients are encouraged to independently verify the credentials and suitability of Practitioners before engaging with them.

2d. Booking Appointments

When booking an appointment through the Website:

• You acknowledge that Happyness Guide’s role is limited to facilitating the initial appointment.
• After the booking, it is the Practitioner’s responsibility to contact you and manage the appointment details, including rescheduling, cancellations, or follow-ups.
• Happyness Guide is not involved in any post-booking communications or payments.

3. Payments

Happyness Guide does not process or handle any payments between Clients and Practitioners. All arrangements regarding fees, payment methods, and financial transactions are solely between the Client and the Practitioner. However, Practitioners are required to pay a reasonable integration fee at the time of registration to be onboarded and listed on the Website. This integration fee is non-refundable and covers the costs associated with setting up their profile and facilitating their presence on the platform.

4. Third-Party Websites

The Website may contain links to third-party websites. These links are provided for convenience only. Happyness Guide does not endorse or assume responsibility for the content, services, or practices of third-party websites.

5. Exclusion of Warranties

Happyness Guide services and related documentation are provided “as is” and without any warranty of any kind either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. No information, whether oral or written, obtained by you from us through this Service shall create any warranty, representation or guarantee not expressly stated in these terms. Happyness Guide does not represent or warrant that the service will be uninterrupted or error-free, that defects will be corrected, or that this service or the server that makes it available, are free of viruses or other harmful components. Happyness Guide does not warrant or represent that the use or the results of the use of the materials available through the service, from third parties or a linked service will be correct, accurate, timely, reliable or otherwise. Some states or other jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. You may also have other rights that vary from state to state and jurisdiction to jurisdiction.  However, any action against Happyness Guide is unequivocally subject to Dispute Resolution as stated below and to which the Client unconditionally agrees. Further, use of Happyness Guide Services is strictly as per Indian Jurisdiction and therefore Happyness Guide shall not be liable in any manner whatsoever for any usage or law outside Indian Jurisdiction. Client is strictly cautioned to check their respective jurisdiction and seek necessary legal advice.

Under no circumstances will Happyness Guide be liable for any loss or damage caused by a Client’s reliance on information obtained through the service, from third parties (such as professionals or others) or a linked service, or client’s reliance on any product or service obtained from a third party or a linked service. Use of this service is at Clients’ sole risk. In any case, the overall liability of Happyness Guide is limited up to Rs. 1000.

No advice or information, whether oral or written, obtained by you from Happyness Guide or through or from the Happyness Guide services shall create any warranty.

6. Liability

Happyness Guide does not provide medical, psychological, or therapeutic advice. Any information or resources provided on the Website are for informational purposes only. The listing of a Practitioner on Happyness Guide does not imply an endorsement or guarantee of their services.

To the fullest extent permitted by law, Happyness Guide will not be liable to you (whether under the law of contact, the law of torts or otherwise) in relation to the contents of, or use of, or otherwise in connection with, this Website::

• Any direct, indirect, special or consequential loss
• Any damages, losses, or disputes arising from the interaction between Clients and Practitioners.
•  Any business losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, or loss or corruption of information or data..

7. Indemnity

You hereby indemnify Happyness Guide and undertake to keep Happyness Guide indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by Happyness Guide to a third party in settlement of a claim or dispute on the advice of Happyness Guide’s legal advisers) incurred or suffered by Happyness Guide arising out of any breach by you of any provision of these Terms, or arising out of any claim that you have breached any provision of these Terms.

8. Intellectual Property

The Website and all its contents, including but not limited to text, graphics, audio/video lessons, practice activities, images, and software, are owned by and are the sole property of Happyness Guide and are protected by by copyrights, trademarks, service marks, patents or other proprietary rights and laws. You may not modify, copy, reproduce, republish, upload, post, transmit, or distribute in any way content available through the Service, including code and software for commercial purposes. For permission to use third-party materials appearing on the Website, please contact the copyright owner. You do not acquire ownership rights to any content, document or other materials viewed through the Service. The posting of information or materials on the Service does not constitute a waiver of any right in such information and materials.

9. Prohibited Use

You agree to abide by these Terms and all relevant laws and regulations by using our Program. You consent to refrain from using our Program in any way that would damage our reputation or cause disruption for our Website or mobile application or its Clients. You also consent to refrain from using our Website for any unlawful or unauthorized purposes.

10. Governing Law and Dispute Resolution

Any disputes between Clients and Practitioners are to be resolved between the respective parties without any involvement of Happyness Guide, if Happyness Guide is made party of any dispute then it shall resolve the dispute through its internal dispute resolution body within the period of thirty (30) days. If the parties involved failed to resolve the dispute within thirty (30) days, then the same shall be construed in accordance with the law of India. The dispute shall be referred to the courts of Prayagraj.

11. Breach of these Terms

Without prejudice to Happyness Guide’s other rights under these Terms, if you breach these Terms in any way, Happyness Guide may take such action as Happyness Guide deems appropriate to deal with the breach, including suspending your access from the Website, prohibiting you from accessing the Website, blocking computers using your IP address from accessing the Website, and/or bringing court proceedings against you.

12. Changes to the Terms of Service

We may update these Terms from time to time. When we make changes, we will post the updated Terms on this page and update the “Effective Date” at the top. By continuing to use the Website after any changes, you agree to the revised Terms.

13. Severability

If a provision of these Terms is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.  If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and Happyness Guide in relation to your use of this Website, and supersede all previous agreements in respect of your use of this Website.
